AVIS HONG KONG FLEET RENTAL AGREEMENT

Lessor hereby rents to the renter undersigned on Page one (herein Called “Renter”) the vehicle described on Page one hereof (herein called “Said Vehicle”) subject to all the terms and conditions of this Rental Agreement, in consideration thereof the renter acknowledges and agrees:

1. That renter will return said vehicle, together with all tyres, tools, car documents, accessories and equipment, to an Avis station in the city where said vehicle was rented on the date specified, or sooner, upon demand of lessor.

2. That renter receives said vehicle in good order and condition and acknowledges liability for cost of all fuel consumed during rental.

3. That said vehicle shall not be operated:

1. to transport goods in violation of Custom regulations or in any other illegal manner;

2. to carry passengers or property for a consideration express or implied;

3. to propel or tow any vehicle or trailer;

4. in motor sport events;

5. by any person under the influence of alcohol or drugs.

6. Further, said vehicle will be operated only by renter or the additional driver named hereof, and the drivers must fulfil either of the following:

1. Hold Hong Kong identity card, with minimum 23 years of age and have held a Hong Kong Driving Licence for over 24 months (Probationary Driving Period excluded). Renter of age of 23 or over but under age of 25, only Group A, B, C and M are available for rental. Additional HK$25,000 damage deductible will be applied.

2. Hold a valid passport and with minimum 25 years of age. The driver’s Passport must show the immigration date to Hong Kong and “Visitor landing slip” from the Hong Kong immigration department, and hold Overseas Driving Licence for over 24 months (or attached with a valid International Driving Licence if the Overseas Driving Licence is not in English).

3. For any person who are Hong Kong residents must hold a valid Hong Kong driving license.

7. the renter further acknowledges and agrees: -

. that to the best of his knowledge and belief no one who will drive the vehicle suffers from any physical infirmity or uncorrected defective vision or hearing.

i. that he will declare to the lessor before taking the vehicle, particulars of any person who will drive the vehicle and who has

. been declined, required to carry the first portion of any loss, been required to pay an increased premium, had special terms imposed, been refused renewal or had a Policy of Motor Insurance cancelled by an Insurer.

i. been convicted within the past 5 years of any offence in connection with any Motor Vehicle.

1. That renter expressly acknowledges personal liability to pay lessor on demand:

1. Rental Charge, Collision Damage Waiver, Personal Accident Insurance fee and miscellaneous charges at the rates specified on Page one of this rental;

2. all fines and court costs for parking traffic or other legal violations assessed against said vehicle, renter or lessor during term of this agreement, except where caused through fault of lessor;

3. lessor’s costs, including reasonable attorney’s fees where permitted by law, incurred collecting payments due from renter hereunder;

4. lessor’s cost to repair collision or upset damages to said vehicle provided, however, if said vehicle is operated in accordance with all the terms hereof, renter’s liability for such damage

. shall not exceed the maximum damage liability as stated in the current rate folder.

i. shall be limited to an amount specified on Page one if renter has purchased in advance the Collision Damage Charge as evidenced by his initials in the “Accepts” space provided on Page one hereof.

1. The renter and any authorized operator, as prescribed in Paragraph 3 preceding, participates as an insured under an automobile insurance policy, a copy of which is available for inspection by the renter at the headquarters office of the lessor. Said policy contains public liability and property damage within the limits legally required in the country where vehicle is registered. COVER FOR THIRD PARTY AND PASSENGER LIABILITY IS LIMITED TO HK$100,000,000. COVER FOR PROPERTY DAMAGE IS LIMITED TO HK$500,000. Renter agrees further to protect the interests of lessor and lessor’s Insurance Company in case of accident during the term of this rental by:

1. obtaining names and addresses of parties involved, and of witnesses;

2. not admitting liability or guilt;

3. not abandoning said vehicle without adequate provisions for safeguarding and securing same;

4. calling nearest Avis station by telephone (transfer charge) even in case of slight damage; further giving a detailed report including diagram to the lessor;

5. notifying the police immediately if another party’s guilt has to be ascertained, or if people are injured.

2. Should renter accept the terms and conditions of the open Personal Accident Insurance Policy arranged by lessor with lessor’s Insurance Company for the account of its client, and shall purchase same by initialing space 49 provided on Page one thereof, he shall obtain cover under terms described in the Coupon, obtainable from the rental office. Personal Accident Insurance, if purchased hereunder, is covered subject to the terms and conditions of a master Policy to be held in Singapore, a copy of which may be inspected at the headquarters office of the lessor. The Policy includes Medical Expenses arising out of and/or directly consequent upon an accident. Cover provided hereunder is for amounts as detailed in the Coupon.

3. That renter hereby releases the lessor of and from any liability for loss of or damage to any property left, stored or transported by renter or any other person in or upon vehicle before or during the term of this rental or after return of the vehicle to lessor. Renter further agrees to hold lessor harmless from and to defend and indemnity lessor against all claims and costs based upon or arising out of such less or damage.

4. The lessor whilst taking all precautions and using his best efforts to prevent such happening shall not be liable for mechanical failure of said vehicle or consequential damages. When not in use renter shall always lock said vehicle.

5. That additions to or alternations of the terms and conditions of this agreement shall be null and void unless agreed upon in writing.

6. That this agreement be construed in accordance with the laws of the country where the lessor’s head offices are located. The courts located at the place of lessor’s head offices shall have exclusive jurisdiction.

7. That in addition renter shall bound by the terms and conditions hereof in relation to any extension of the rental period agreed by lessor.

AVIS PRESTIGE RENTAL AGREEMENT

Lessor hereby rents to the renter undersigned on Page one ( herein Called “ Renter” ) the vehicle described on Page one hereof ( herein called “ Said Vehicle” ) subject to all the terms and conditions of this Rental Agreement, in consideration thereof the renter acknowledges and agrees:

1. That renter will return said vehicle, together with all tyres, tools, car documents, accessories and equipment, to an Avis station in the city where said vehicle was rented on the date specified, or sooner, upon demand of lessor.

2. That renter receives said vehicle in good order and condition and acknowledges liability for cost of all fuel consumed during rental.

3. That said vehicle shall not be operated:

1. To transport foods in violation of Custom regulations or in any other illegal manner;

2. To carry passengers or property for a consideration express or implied;

3. To propel or tow and vehicle or trailer;

4. In motor sport events;

5. By any person under the influence of alcohol or drugs. Further, said vehicle will be operated only by renter or the additional driver named on Page one hereof, provided all such operators shall be at least 30 years of age, duly qualified and have held a full driving license ( Hong Kong or foreign ) for not less than 3 years (Probationary Driving Period excluded) and also provided always that any person who arrives in Hong Kong to take up residence for a period exceeding 12 months must hold a Hong Kong driving license;

6. The renter further acknowledges and agrees:
